1. 適用と同意

本規約は、オフィス長谷川が提供するInventory Audit、Metafield Editor、Inventory Adjuster、Fraud Detecto、Product Validator、Returns Manager(個別に「本アプリ」)の利用に適用されます。マーチャントのために本アプリをインストールまたは利用する者は、マーチャントを代表する権限を有し、本規約に同意するものとします。同意しない場合は、本アプリをインストールまたは利用しないでください。

マーチャントは、認可された利用者だけに本アプリを使わせ、Shopifyアカウントと認証情報を適切に管理してください。

2. サービス内容

利用できる機能、履歴範囲、上限、Shopify API権限はアプリ・Shopifyプラン・Shopifyの仕様により異なります。Shopifyが提供するAPI、Customer Account、認証、課金およびストア機能はShopifyの規約にも従います。

3. 料金と支払い

適用されるプラン、価格、請求周期、利用上限は、Shopify上で当該アプリのプランを選択する際に表示される内容です。Shopifyが提供する課金手段を通じて請求されます。マーチャントはプランの選択・変更・解約をShopifyの画面で行い、Shopifyに表示される請求条件を確認してください。アプリをアンインストールした場合の課金終了時期や返金は、Shopifyの課金条件に従います。

4. マーチャントの責任と許容される利用

マーチャントは、本アプリに付与する権限、処理対象とするストア情報、利用者へのアクセス権、exportした情報の共有、および本アプリの結果に基づく業務判断について責任を負います。本アプリの結果はShopifyが返すデータと機能範囲に依存します。Inventory Adjusterで在庫変更を実行する前に内容を確認し、CSVを共有する前にその内容を確認してください。Returns Managerを通じた返品可否、返金、交換等の決定はマーチャントが行います。

本アプリを適法な業務目的で利用してください。権限のない情報へのアクセス、アクセス制御の回避、サービスへの妨害、他者の権利を侵害する情報の送信、本アプリの不正利用は禁止します。

5. データとプライバシー

本アプリのデータ取扱いはShopifyアプリ プライバシーポリシーに記載します。各アプリが扱う情報、利用目的、保存期間、削除方法はアプリごとに異なります。マーチャントは、対象ストアで本アプリを利用する権限および、必要な情報を本アプリに処理させる権限を有することを確認してください。

6. マーチャントデータ処理条件

本条は、本規約の一部を構成し、マーチャントのストアまたは購入者に関するデータを本アプリがマーチャントのために処理する範囲に適用されます。

  1. 役割と指示: 法令上の役割は実際の処理に従います。通常、マーチャントは処理目的・手段を決定し、オフィス長谷川は本アプリ提供、サポート、セキュリティおよびマーチャントの指示に従った処理を行います。
  2. 目的の限定: オフィス長谷川は、マーチャントデータを本アプリの機能提供、サポート、セキュリティ、障害対応、Shopifyのprivacy requestへの対応に必要な範囲で処理し、販売や広告目的に利用しません。
  3. 対象情報: 対象情報は、利用アプリに応じたストア、商品、在庫、注文、返品、購入者関連情報、認証session、設定、操作結果です。詳細はプライバシーポリシーのアプリ別表に記載します。
  4. 再委託先: Shopifyはプラットフォーム/API/Customer Account提供者、CloudflareはWorkers、D1、該当アプリのQueuesのインフラ提供者として処理します。これらの提供者が国外で処理する場合があります。オフィス長谷川はサービス提供に必要な範囲でこれらを利用します。
  5. 安全管理: オフィス長谷川は、認証、ストア単位のアクセス制御、必要最小限のAPI権限、Webhook署名検証など、アプリに実装された対策を維持します。Provider機能・運営アカウント設定に依存する統制には、その提供者の条件が適用されます。
  6. 購入者からの依頼: マーチャントは購入者からの依頼を適切に判断し、必要な場合はShopifyのprivacy request機能を通じて処理してください。Fraud DetectoおよびReturns Managerがマーチャント向けreportを生成する場合、購入者への提供はマーチャントが行います。オフィス長谷川はそのreportを購入者へ自動送信しません。
  7. 事故連絡: 本アプリの処理に関係するセキュリティ事故を把握した場合、オフィス長谷川は調査に必要な対応を行い、法令または契約により必要な範囲でマーチャントへ連絡します。
  8. 終了時: アンインストール、Shopifyの削除webhook、通常の保持期限に基づき、本アプリのデータを削除します。Cloudflare等のprovider logs、復旧用backup、ブラウザーやマーチャントが出力したcopyは別の保持条件となる場合があります。具体的な挙動はPrivacy Policyのアプリ別表に従います。

7. 知的財産とマーチャントデータ

本アプリおよび関連ソフトウェアに関する権利は、オフィス長谷川または各ライセンサーに帰属します。マーチャントは自身のストア情報に関する権利を保持し、本アプリの提供に必要な範囲で処理する権限をオフィス長谷川に付与します。

8. 提供の停止・終了

マーチャントはShopifyから本アプリをアンインストールして利用を終了できます。オフィス長谷川は、セキュリティ上の危険、法令・Shopify要件への対応、または本規約への重大な違反に対処するため合理的に必要な場合、事前または事後に本アプリへのアクセスを停止できます。終了後の情報処理はプライバシーポリシーに従います。

9. 可用性と責任

Shopify API、Cloudflareその他の提供者の稼働・変更・制限により、本アプリの機能、データ、利用可能性が影響を受ける場合があります。本アプリは特定の稼働率やエラーのない動作を保証しません。法令で認められる範囲で、適用されない免責や制限は効力を持たず、本規約は法令により排除できない権利を制限しません。法令上責任を負う場合の責任は、適用法令に従って判断されます。

10. 規約の変更

オフィス長谷川は、本アプリまたはデータ処理の変更、法令・Shopify要件への対応等に応じて本規約を更新する場合があります。重要な変更は、本ページまたは本アプリ内で告知し、必要な場合は変更後の利用前に同意を求めます。変更に同意しない場合、マーチャントは本アプリをアンインストールできます。最新版の発効日は本ページ上部に表示します。

11. 一般条項

本規約の一部が適用法により無効または執行不能と判断されても、その他の条項には影響しません。本規約はShopify Partner Program Agreement、Shopify API License and Terms of Use、Shopify利用者向け規約を置き換えるものではありません。

Shopify App Merchant Terms

1. Scope and acceptance

These Terms apply to Inventory Audit, Metafield Editor, Inventory Adjuster, Fraud Detecto, Product Validator, and Returns Manager, each a “App,” provided by Office Hasegawa. A person installing or using an App for a merchant represents that they are authorized to act for that merchant and agrees to these Terms. Do not install or use an App if you do not agree.

The merchant must restrict App access to authorized users and protect its Shopify account and credentials.

2. Services

Features, history ranges, limits, and Shopify API permissions vary by App, Shopify plan, and Shopify platform behavior. Shopify’s terms also govern Shopify APIs, Customer Accounts, authentication, billing, and store features.

3. Fees and billing

The applicable plan, price, billing period, and usage limits are those shown when the merchant selects a plan for that App in Shopify. Charges are handled through Shopify-provided billing. Merchants select, change, or cancel plans through Shopify and should review Shopify’s displayed billing terms. The timing of billing termination and any refunds after uninstall are subject to Shopify’s billing terms.

4. Merchant responsibilities and acceptable use

The merchant is responsible for the permissions granted to each App, the store information made available to it, user access, sharing of exported information, and business decisions based on App results. Results depend on information and functionality made available by Shopify. Review Inventory Adjuster changes before applying them and review CSV files before sharing. The merchant decides whether to approve, reject, refund, or otherwise process a return through Returns Manager.

Use the Apps only for lawful business purposes. You must not access information without authorization, bypass access controls, interfere with the Apps, submit information you have no right to use, or misuse the Apps.

5. Data and privacy

Processing is described in the Shopify Apps Privacy Policy. The information, purposes, retention periods, and deletion behavior differ by App. The merchant confirms that it is authorized to use the App for its store and to permit the App to process the relevant information.

6. Merchant data processing terms

This section forms part of these Terms and applies when an App processes information about a merchant’s store or buyers on the merchant’s behalf.

  1. Roles and instructions: Legal roles depend on the actual processing. Generally, the merchant determines the purposes and means of processing, and Office Hasegawa processes information to provide the App, support, and security and to follow the merchant’s instructions.
  2. Purpose limitation: Office Hasegawa processes merchant data only as necessary to provide App features, support, security, troubleshooting, and respond to Shopify privacy requests. It does not sell merchant data or use it for advertising.
  3. Data categories: Depending on the App, information may include store, product, inventory, order, return, buyer-related, authentication-session, settings, and operation-result data. The App-specific table in the Privacy Policy describes the data in more detail.
  4. Subprocessors: Shopify provides the platform, APIs, and Customer Accounts. Cloudflare provides Workers, D1, and Queues for applicable Apps. These providers may process data outside the merchant’s country. Office Hasegawa uses them as needed to provide the Apps.
  5. Security: Office Hasegawa maintains safeguards implemented in the Apps, including authentication, shop-scoped access, necessary API permissions, and webhook signature verification. Provider-level and operator-account controls remain subject to those providers’ services and account settings.
  6. Buyer requests: The merchant must appropriately assess buyer requests and use Shopify privacy-request mechanisms where applicable. If Fraud Detecto or Returns Manager generates a merchant-facing report, the merchant is responsible for providing it to the buyer. Office Hasegawa does not automatically send the report to the buyer.
  7. Security incidents: If Office Hasegawa becomes aware of a security incident affecting App processing, it will take steps to investigate and notify the merchant to the extent required by law or contract.
  8. End of service: App data is deleted according to uninstall events, Shopify deletion webhooks, and the applicable retention periods. Provider logs, recovery backups, browser data, and copies exported by the merchant may be subject to separate retention conditions. See the App-specific table in the Privacy Policy.

7. Intellectual property and merchant data

Rights in the Apps and related software belong to Office Hasegawa or its licensors. The merchant retains its rights in its store information and authorizes Office Hasegawa to process it as needed to provide the Apps.

8. Suspension and termination

A merchant may stop using an App by uninstalling it from Shopify. Office Hasegawa may suspend access when reasonably necessary to address a security risk, comply with law or Shopify requirements, or respond to a material breach of these Terms. Processing after termination is governed by the Privacy Policy.

9. Availability and liability

Shopify APIs, Cloudflare, and other provider availability, changes, or limitations may affect App features, data, or availability. The Apps do not guarantee a particular uptime or error-free operation. To the extent permitted by law, any disclaimer or limitation that cannot legally apply will not apply, and these Terms do not limit rights that cannot be excluded by law. Any liability imposed by law will be determined under applicable law.

10. Changes

Office Hasegawa may update these Terms to reflect changes to the Apps or data processing or to address legal or Shopify requirements. Material changes will be announced on this page or in an App, and consent will be requested before use after the change where required. A merchant that does not agree may uninstall the App. The effective date of the current version appears above.

11. General

If a provision is held invalid or unenforceable under applicable law, the remaining provisions will remain in effect. These Terms do not replace the Shopify Partner Program Agreement, Shopify API License and Terms of Use, or Shopify’s terms for users.
